Terms of Service

TL;DR: Use our software lawfully, don't abuse our systems or other users, pay on time, and we'll provide a reliable, well-supported product. We're straightforward people — these terms reflect that.
1. Acceptance of Terms
By downloading, installing, or using any Rocky River Software product or service, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using our software on behalf of a company or organization, you represent that you have authority to bind that entity to these terms.
2. License Grant
Subject to your compliance with these terms and timely payment of applicable fees, Rocky River Software grants you a limited, non-exclusive, non-transferable, revocable license to install and use our software on the number of devices permitted by your license tier.
Personal licenses cover up to 3 devices for a single individual. Team licenses are per-user and cover all devices used by that licensed user. Enterprise licenses are negotiated separately.
3. Accounts & Subscriptions
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at info@rockyriversoftware.com if you suspect unauthorized access.
Annual subscriptions renew automatically unless cancelled at least 24 hours before the renewal date. You can cancel at any time from your account dashboard.
4. Payment & Refunds
All prices are in US dollars and exclusive of applicable taxes. Payment is processed securely by Stripe. We do not store payment card information.
We offer a full refund within 60 days of purchase — no questions asked. After 60 days, refunds are at our discretion. Contact info@rockyriversoftware.com to request a refund.
5. Restrictions
You may not:
- Reverse engineer, decompile, or disassemble any part of our software
- Sublicense, sell, rent, or transfer your license to a third party
- Use our software to build a competing product
- Remove or alter any proprietary notices or labels
- Use our services to transmit malware, spam, or illegal content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use our software in violation of any applicable law or regulation
6. Intellectual Property
Rocky River Software and its licensors retain all right, title, and interest in our products, including all intellectual property rights. These terms do not grant you any rights to our trademarks, logos, or brand elements. Feedback you submit to us may be used to improve our products without compensation to you.
7. Your Data
You retain ownership of all data you create with our software. We claim no ownership over your content. You grant us a limited license to store and process your data solely to provide the service. Upon account termination you may export your data; we will delete it within 30 days thereafter.
8. Warranty Disclaimer
Our software is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free or uninterrupted.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Rocky River Software's total liability for any claims arising from these terms or your use of our software shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10. Termination
Either party may terminate this agreement at any time. You may cancel your subscription from your account dashboard. We may suspend or terminate your account if you materially breach these terms, with or without notice for serious violations.
Upon termination, your license to use the software ends. We will provide a pro-rated refund for unused prepaid subscription time unless termination was due to your breach.
11. Governing Law
These terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Cuyahoga County, Ohio, and you consent to personal jurisdiction there.
12. Changes to Terms
We may update these terms from time to time. We'll notify you of material changes by email and by posting a notice on our website at least 30 days before they take effect. Continued use of our software after that date constitutes acceptance of the updated terms.
